Mr. Chapman has focused on securities law, venture capital, mergers and acquisitions, and international business transactions for the past twenty years. Jim has been involved in over 175 mergers, acquisitions, and financing transactions. These transactions have included public offerings, private placements, debt financings, venture capital transactions, stock sales, asset sales, mergers, reorganizations, and recapitalizations.

Mr. Chapman holds a J.D. and a M.B.A. from Santa Clara University, and B.A. from Catholic University of America.

Bill Reichert is Managing Director of Garage Technology Ventures, a leading seed-stage and early-stage venture capital fund. Garage makes small investments – generally $500,000 to $1 million – in promising early stage companies and works intensively with them to help them to the next step. Bill has been on the board of CaseStack, WhiteHat Security, Miasole, cFares, ThermoCeramix, STEP Communications, and ClearFuels Technology in conjunction with Garage’s investments in those companies. The Firm is located in Palo Alto, California.

Bill has spent most of his career as an entrepreneur and operating executive. Prior to joining Garage in 1998, Bill was a co-founder and senior executive at several early-stage, venture-backed technology companies, including Trademark Software, The Learning Company, Infa Technologies, and Academic Systems. Earlier in his career, Bill worked at McKinsey & Co. in Los Angeles, the World Bank in Washington, DC, and Brown Brothers Harriman & Co. in New York. Bill earned his BA from Harvard University and his MBA from Stanford University.

WINNIE H. WAN, PHD. MBA
Dr. Wan has an extensive track record of launching and building successful biotechnology businesses. Most recently, she was the founding President and CEO and Board Director of Fort¨¦Bio, Inc. (2003 ¨C 2007), a venture-capital funded life sciences company that provides analytical systems to accelerate the development of therapeutics. At Fort¨¦Bio, she raised $22.5 MM in private equity and $8 MM of debt financing. She is credited with building the company into an emerging leader in the label-free technology market, with customers including the top-20 pharmaceutical companies. She was also instrumental in starting a manufacturing and R&D facility for the company in China. Prior to Fort¨¦Bio, Dr. Wan was Co-founder, President, CEO and Board Director of GeneTrol Biotherapeutics, Inc. (1997-2002).  At GeneTrol, she raised $10 million of private equity and took two products to the preliminary Investigational New Drug (pre-IND) stage.  She was also the first executive at SyStemix, Inc., a drug discovery company focused on AIDS and cancer therapies. Dr. Wan helped build SyStemix from its inception, which ultimately led to a successful IPO and then to its acquisition by the pharmaceutical company Sandoz (now Novartis).  She was also the President of the Cellular Imaging Division at Becton Dickinson (1991-1996), a business unit that she created and grew to $10 million in revenue before merging it with another division.  Dr. Wan has served on the boards of a number of companies within the biotechnology industry, including, ForteBio, Inc., Osel, Inc., Guava Technologies, GeneTrol, Resolution Sciences, and BioGenomics.   She received her B.A. from Skidmore College with Phi Beta Kappa honors; her Ph.D. in Biochemistry from Yale University, and her MBA from Columbia University.
Dr. Wan is currently raising funds to start a biopharmaceutical business in China and incubating a label-free cell sorting technology for stem cell research

Steve Clinton, Attorney, Nixon Peabody LLP

Steve Clinton is an attorney at Nixon Peabody LLP in Silicon Valley. Mr. Clinton represents a broad range of companies from privately held start-up companies to publicly traded corporations. He has extensive experience in all aspects of corporate transactions and assists clients with the negotiation and consummation of mergers, stock sales, asset acquisitions and other reorganizations. Mr. Clinton regularly assists with cross-border transactions.

Mr. Clinton advises public clients in the preparation of reporting documents and registration statements filed with the SEC under the Securities Act of 1933 and the Securities Exchange Act of 1934 as well as other SEC compliance matters.

Mr. Clinton represents clients in equity financings, convertible debt offerings, and venture capital transactions. His practice also consists of representing emerging growth companies in all aspects of business and corporate transactions, including entity formation, entity governance and business planning issues.
